Terms of Service

Midas Studio ("Midas", "we", "us") provides a prompt-engineering and visual-direction platform for fashion and retail brands. We are a private operator; nothing on the site should be read as an offer of securities or franchise.

Access requires an Entry Pass (US$40, one-time) which includes 3 months of access and 200 tokens. After that you continue via Monthly (US$10/mo) or Annual (US$96/yr). You are responsible for keeping your credentials secure and for activity under your account.

We may suspend or terminate accounts that abuse the service, infringe third-party rights, attempt to extract our protected outputs at scale, or violate these Terms.

Tokens are a usage unit consumed when you run DIP, generate Lock Sheets, or use other paid actions. Tokens do not expire while your membership is active. They are non-transferable and have no cash value.

Recurring fees renew automatically until cancelled. You may cancel at any time from your account; cancellation takes effect at the end of the current period. Refund handling is described in our Refund Policy.

You retain ownership of the product photos, model references, brand assets, and other materials you upload ("Your Content"). You grant Midas a limited licence to process Your Content solely to operate the service — to generate Lock Sheets, prompts, and storyboards for you.

You confirm you have the rights to upload Your Content and that it does not infringe third-party intellectual property, privacy, or publicity rights. Do not upload images of real, identifiable people without their written consent.

Lock Sheets, compiled prompts, archetype specs, and storyboards we generate from Your Content are licensed to you for use within your own brand work. The underlying engine, rubrics (including the 85 Standards and the Retail Rubric), archetype library, and Lock Sheet system remain the intellectual property of Midas.

You may not resell, sub-license, scrape, redistribute, or use Midas outputs to train competing prompt engines or model libraries.

Your use of Midas is also subject to our Acceptable Use Policy, which prohibits, among other things, real-person likeness generation, minors, deceptive imagery, and unlawful content. Violations may result in immediate suspension without refund.

Midas uses third-party AI infrastructure (including via the Lovable AI Gateway) to analyse images and generate text. We do not control the underlying model providers and do not guarantee uptime, determinism, or specific output quality from those providers.

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Midas is not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the amount you paid Midas in the 12 months before the claim.

We may update these Terms as the service evolves. Material changes will be announced via email or in-app notice at least 14 days before they take effect.

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes will be resolved in the courts of Hong Kong unless required otherwise by your local consumer law.
